These Terms and Conditions (“Terms”) govern the Early Access Campaign (the “Campaign”), including the referral leaderboard and associated rewards (inference credits and FET token incentives), as well as the social giveaways described below. By participating, you agree to be bound by these Terms, Intercloud Terms of Service, Acceptable Use Policy, and our Privacy Policy (collectively, the “Intercloud Terms”).
1. Key Dates and Time Zone
Waitlist Launch: 20 August 2025 (00:01, Europe/London time)
MVP Launch: w/c 23 September 2025 (00:01, Europe/London time). The launch date is subject to change, if required.
Leaderboard Lock Date: 48 hours before MVP Launch, i.e., 21 September 2025 (00:01, Europe/London time) We may reasonably adjust the times and/or dates (e.g., for operational or security reasons). Any changes will be communicated via the waitlist page or on our social media channels.
2. Eligibility
2.1 Age & Capacity. You must be at least 18 years old and have the legal capacity to enter into these Terms.
2.2 Jurisdictional Restrictions. The Campaign is void where prohibited and is not available in any country or territory subject to comprehensive sanctions or where participation or receipt of rewards would be unlawful. We may require identity/KYC/AML checks before granting access or delivering any reward (including FET tokens).
2.3 One Account. One waitlist account per natural person. Automated, bulk, disposable/temporary-email, or fraudulent sign-ups are prohibited.
2.4 Employees & Affiliates. Employees, officers, directors, contractors, and representatives of the Promoter and its affiliates may participate at our discretion but are not eligible for giveaways or leaderboard rewards unless expressly permitted in writing.
2.5 We reserved the right to remove eligibility of users who are identified as creating multiple accounts to maximise rewards. We have monitoring and systems in place to ensure the early access rewards are distributed equally and fairly.
3. How the Early Access Waitlist works
3.1 Entry Points. You may join via: The sign-up form embedded on cudos.org home page
3.2 Verification Required. Email verification is required to confirm eligibility and secure your waitlist position.
3.3 Referrals & Movement. Each verified user receives a unique referral code. For every verified referral, the referrer moves up 5 places on the leaderboard. “Verified referral” means the referred person completes sign-up and successfully verifies their email, and is not flagged/removed for breach or fraud. Positions are dynamic and may update in real time or via periodic refreshes. We may disallow or reverse position changes arising from self-referrals, fake accounts, or other abuse.
3.4 Provisional vs Final Position. You may see provisional position and reward eligibility in confirmation/update messages. Final allocation is determined at the Leaderboard Lock Date (see Section 1). Tie-breaker: Where two or more users share the same position at lock, we apply: (i) earliest verified sign-up timestamp; then (ii) total number of verified referrals; then (iii) a random draw. 3.5 Example. A user entering at position #400 who later moves to #275 through referrals will be allocated rewards according to the #101–500 bracket (see Section 4).
4. Rewards: LLM Inference Credits
4.1 Pool & Brackets. Approximately US$90,000 in free LLM inference credits will be allocated to the first 1,000 users on the locked leaderboard as follows: #1–100: US$500 each #101–500: US$60 each #501–1000: US$30 each
4.2 Validity & Use. Credits are valid for 3 months from activation/issuance (unless otherwise stated in the credit email or dashboard). Credits are for LLM inference only, have no cash value, are non-transferable, non-exchangeable, and non-refundable. Credits cannot be used for VM or GPU rentals on the platform. Use of credits is subject to platform capacity, technical availability, and the Intercloud Terms, including acceptable use and fair usage limits.
4.3 Distribution. Credits are issued after the Leaderboard Lock Date and in connection with your phased access window (see Section 6).
4.4 You must register or log in to the platform with the same email used when signing up for the early access waitlist.
4.5 Misuse. We may suspend or revoke credits obtained or used in breach of these Terms or the Intercloud Terms. 5. Rewards: FET Token Incentives
5.1 Pool & Structure. A US$15,000 FET token pool will be distributed on a first-come, first-served basis within the first 3 months from your access window, as follows:
US$600 eligible spend → US$100 worth of FET US$800 eligible spend → US$125 worth of FET US$1,000 eligible spend → US$150 worth of FET
5.2 Eligible Spend. “Eligible spend” means your VM rentals and LLM inference usage is billed at standard rates, including consumption of promotional inference credits applied to successful jobs during the first 3 months from your access window. Taxes, chargebacks, refunds, or fees unrelated to inference (if any) are excluded. Spend also includes $USD spend on VM/GPU rentals.
5.3 Conversion to FET. USD figures are for convenience only. The number of FET tokens you receive is determined by the Promoter using a reasonable market reference rate at the time of allocation/transfer.
5.4 Order & Cap. Allocation is strictly in the order participants meet the applicable threshold(s), until the US$15,000 pool is exhausted. The FET reward pool may be extended by the promoter at their discretion.
5.5 Compliance. Token rewards may require KYC/AML checks and are subject to applicable laws and restrictions (including, without limitation, sanctions and securities/financial regulation). If you are ineligible due to law or compliance checks, you forfeit the token reward without substitution.
5.6 Timing. FET rewards are distributed up to 3 months of your access window and once eligibility is confirmed.
5.7 No Advice. Tokens are volatile. No reward constitutes financial or investment advice.
6. Phased Access to Early Access Users
#1–100: Day-one access at MVP launch (w/c 23 September 2025). #101–500: Access one week later #501–1000: Access two weeks later. Access timing may be refined to manage onboarding and platform stability.
7. Social & Partner Giveaways
7.1 X (Twitter) Giveaway.
Pool: US$500 worth of FET (random draw). Eligibility: Share content using the official Campaign hashtag during the Campaign period. Winner Selection: Random draw after the Campaign concludes. No purchase necessary where prohibited by law. Additional rules (e.g., post visibility, account age, geographic eligibility) may be published with the giveaway announcement and apply in addition to these Terms.
7.2 AMA Giveaway (Potential). Prize: US$200 worth of FET (1 winner). Eligibility: Attend the AMA and submit a question as specified in the announcement. Winner Selection: Random draw post-AMA.
7.3 Crypto Mondays Newsletter Giveaway. Prizes: US$500 in inference credits (5 winners × US$100 each). Eligibility: Sign up to the early acces waitlist via the newsletter-specific link (UTM). Winner Selection: Random draw after the newsletter promotion ends. Credit Terms: Same as Section 4 (credits non-cash, 3-month validity, etc.).
7.4 Verification & Announcements. Winners may be contacted via the relevant platform/email and may be announced on our official channels. If a winner does not respond within 7 days, is ineligible, or fails verification, we may select an alternate.
7.5 Publicity Release. Where lawful, winners consent to the use of their name/handle and submitted content for reasonable promotional purposes without additional compensation.
8. Fraud, Abuse and Fair Play
We may monitor for, investigate, and remedy suspected abuse, including but not limited to: Multiple accounts for the same person, self-referrals, synthetic/AI/bot sign-ups, or use of disposable emails; Misrepresentation, interference with the referral system/leaderboard, exploitation of bugs, or any activity contrary to these Terms or the Intercloud Terms.
Remedies may include position adjustments, reward withholding or clawback, account suspension, disqualification, and reporting to authorities where appropriate.
9. Communications
By joining the early access waitlist, you consent to receive transactional communications (e.g., verification, position updates, reward notices, access window notices). You may opt out of marketing communications at any time, but essential transactional messages are necessary for participation.
10. Taxes and Fees
You are solely responsible for any taxes, reporting, exchange, network, or custody fees associated with any reward. We may provide or file information returns where required by law.
11. Data & Privacy
We process personal data in accordance with our Privacy Policy. Data may be used to operate the Campaign, verify eligibility, prevent fraud/abuse, deliver rewards, and comply with law. For more information, please refer to the Privacy Policy available on cudos.org.
12. Changes, Suspension, and Termination
We may modify, suspend, or terminate the Campaign (in whole or part) where reasonably necessary, including for security, fraud prevention, legal, or operational reasons, or where events beyond our control materially impact the Campaign. Where feasible, we will provide notice via the waitlist page or by email.
13. Liability
To the maximum extent permitted by law: The Campaign and rewards are provided “as is” without warranties; We are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, goodwill, or business interruption; Our aggregate liability in connection with the Campaign will not exceed US$100 or, if greater, the value of rewards you actually received in the Campaign. Nothing excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.
14. No Assignment. No Cash Alternative.
Rights and rewards under these Terms are personal to you and may not be assigned, sold, traded, or exchanged. No cash alternative is available for any credit or token reward.
15. Governing Law & Forum
Unless mandatory local law provides otherwise, these Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.

17. Summary of Key Mechanics (Informative Only)
Join the waitlist and verify your email to secure a spot. Each verified referral moves you up 5 places. Final position locks on 21 September 2025 (00:01, Europe/London). LLM Inference Credits for top 1,000 (US$500 / US$60 / US$30) are valid for 3 months. FET rewards: up to US$150 worth of FET based on eligible spend in the first 3 months. First-come, first-served from a US$15,000 pool. Access: #1–100 at launch; #101–500 one week later; #501–1000 two weeks later.
In case of conflict, the operative sections of these Terms prevail over this summary.
